Governing Language 语言效力
This Agreement is presented in English with a Chinese translation for convenience and reference only. The English-language text constitutes the controlling and legally operative version. If any inconsistency, ambiguity, or conflict exists between the English text and the Chinese translation, the English text shall govern, except to the extent applicable law requires otherwise. Each party acknowledges that it has had a reasonable opportunity to review and understand this Agreement and obtain independent legal advice before signing.
本协议以英文正式文本及中文参考译文共同呈现。中文译文仅为阅读与理解之便利，不构成独立协议版本。英文文本为具有控制效力及法律效力的正式版本；英文文本与中文译文之间如存在任何不一致、歧义或冲突，均以英文文本为准，但适用法律另有强制性规定的除外。各方确认，其在签署前已有合理机会阅读并理解本协议，并可自行寻求独立法律意见。
1. Parties and Acceptance 第一条 协议双方及接受
This Membership Services Agreement (the "Agreement") is between SU International LLC, a California limited liability company ("SU," "we," "us," or "our"), and the individual or entity identified in the Membership Order Form ("Member" or "you"). This Agreement becomes effective when accepted by SU after Member signs electronically or otherwise agrees through an SU-authorized enrollment process.
本《会员服务协议》（以下简称“本协议”）由加利福尼亚州有限责任公司SU International LLC（以下简称“SU”或“我们”）与《会员订单表》中列明的个人或实体（以下简称“会员”或“您”）订立。会员完成电子签署或通过SU授权的入会流程接受本协议，并经SU接受后，本协议生效。
If Member is an entity, the signer represents that the signer has authority to bind that entity. The designated account user must also comply with this Agreement. Membership is available only to persons at least 21 years old and legally capable of entering into a binding contract.
如会员为企业或其他实体，签署人声明其有权代表并约束该实体。被指定使用账户的人员亦须遵守本协议。会员原则上须年满21周岁并具有订立有约束力合同的法律能力。
2. Agreement Documents and Priority 第二条 协议文件及效力顺序
This Agreement includes the Membership Order Form, Exhibit A (Official Safety and Service Boundaries Statement), SU's Privacy Policy, and transaction-specific booking or promotional terms presented before a booking. If terms conflict, a separately signed written addendum controls first, followed by the Membership Order Form, transaction-specific terms, this Agreement, and then Exhibit A. However, Exhibit A's terms and restrictions concerning safety, the zero-advance policy, concierge withdrawal rights, payment-card data isolation, and compliance boundaries supersede and control over any inconsistent provision in an order form, marketing term, booking confirmation, or informal communication, unless a later written addendum signed by an authorized SU representative expressly identifies and modifies the applicable Exhibit A provision. Mandatory law controls in all cases.
本协议包括《会员订单表》、附件A《官方安全与服务边界声明》、SU《隐私政策》以及预约前展示的具体预约或活动规则。如内容不一致，依次以双方另行签署的书面补充文件、《会员订单表》、具体交易规则、本协议及附件A为准。但是，附件A中有关安全、零垫付原则、管家撤离权、支付卡数据隔离及合规边界的条款，优先于订单表、营销条款、预约确认或非正式沟通中的任何不一致内容；但SU授权代表此后签署的书面补充文件明确指出并修改相关附件A条款的除外。适用法律的强制性规定始终优先。
3. Membership Services 第三条 会员服务
SU provides access to a membership platform, participating-merchant information, concierge booking assistance, and eligibility to earn non-cash Reward Credits on qualifying transactions. Available merchants, response channels, booking access, benefits, and service levels may vary by membership level, location, availability, and the terms shown at booking.
SU提供会员平台访问、参与商家信息、礼宾预约协助以及通过合格交易取得非现金会员奖励额度的资格。参与商家、响应渠道、预约权限、权益和服务标准可能因会员等级、地区、供应情况及预约时的规则而不同。
SU may add, modify, suspend, substitute, or discontinue prospective benefits, merchants, or features for legitimate business, legal, security, or operational reasons. SU will not retroactively reduce finally posted Reward Credits except as permitted by this Agreement. No particular merchant, venue, price, booking, upgrade, gift, or future benefit is guaranteed unless expressly stated in the Membership Order Form or a confirmed booking.
SU可基于合理的商业、法律、安全或运营原因，对未来适用的权益、商家或功能进行增加、调整、暂停、替换或停止，但除本协议允许的情况外，不追溯减少已经最终入账的会员奖励额度。除《会员订单表》或已确认预约明确记载外，SU不保证任何特定商家、场所、价格、预约、升级、礼品或未来权益。
4. Independent Merchants and Concierge Boundaries 第四条 独立商家及管家服务边界
Participating merchants are independent third parties. Member ordinarily pays the merchant directly and contracts with the merchant for the underlying food, lodging, transportation, entertainment, or other service. The merchant controls its prices, availability, cancellation policy, personnel, premises, licensing, and performance. SU is not the merchant's owner, operator, employer, joint venturer, or guarantor.
参与商家均为独立第三方。会员通常直接向商家付款，并就餐饮、住宿、交通、娱乐或其他实际服务与商家形成交易关系。商家自行决定价格、供应、取消政策，并自行负责其人员、场所、许可及履约。SU不是商家的所有人、经营者、雇主、合营方或履约保证人。
SU concierge personnel provide booking coordination and general assistance within authorized channels. They are not personal companions, security personnel, medical providers, financial advisers, or agents authorized to accept private payments or make commitments outside confirmed SU terms. An off-platform promise or payment request does not bind SU unless SU confirms it in writing through an authorized channel.
SU管家仅在授权渠道内提供预约协调和一般协助，不是私人陪伴人员、安保人员、医疗服务者或财务顾问，也无权私下收款或作出超出SU确认条款的承诺。任何平台外承诺或付款要求，未经SU授权渠道书面确认，不对SU产生约束力。
Member and every guest are responsible for satisfying each merchant's admission rules, including presenting valid government-issued identification, meeting any minimum age requirement (including age 21 where applicable), complying with dress codes, and following conduct, capacity, arrival-time, and entry policies. If admission is refused because of Member's or a guest's age, identification, attire, conduct, lateness, intoxication, or other noncompliance, SU is not responsible for the refusal, and Member remains responsible for deposits, minimum-spend commitments, cancellation or no-show charges, and other amounts validly imposed under the disclosed merchant or booking terms, subject to non-waivable law.
会员及其每位同行人员均须自行满足商家的准入规则，包括出示合法有效的政府签发身份证件、满足最低年龄要求（适用时包括年满21周岁）、遵守着装要求以及现场行为、容量、到场时间和入场政策。如会员或同行人员因年龄、身份证件、着装、行为、迟到、醉酒或其他不合规原因被拒绝入场，SU不对该拒绝负责；会员仍须承担依已经披露的商家或预约规则合法收取的押金、最低消费承诺、取消费、缺席费及其他款项，但适用法律规定不得放弃的权利除外。
5. Membership Fees and Taxes 第五条 会员费用及税费
Member must pay the Membership Fee stated in the Membership Order Form using an approved payment method. Merchant purchases, taxes, gratuities, deposits, service charges, transportation charges, and other third-party costs are separate unless the Membership Order Form expressly includes them.
会员应通过获准的支付方式支付《会员订单表》所列会员费用。除订单表明确包含外，商家消费、税费、小费、押金、服务费、交通费及其他第三方费用均由会员另行承担。
Except where Section 6, another express provision of this Agreement, or applicable law provides otherwise, the Membership Fee is earned in full and nonrefundable upon activation. The Membership Fee is consideration for establishing and maintaining the Member account, onboarding, making platform and concierge channels available, maintaining service readiness, and allocating access to SU's participating-merchant network; it is not a payment for any particular merchant transaction, amount of usage, savings, Reward Credits, or successful booking. A Member's decision not to use the services, limited usage, or dissatisfaction with an independent merchant does not create a refund right. Member is responsible for taxes imposed on Member's purchases or membership, excluding taxes based on SU's net income.
除第六条、本协议其他明确条款或适用法律另有规定外，会员费在会员资格开通时即全部赚取且不予退还。会员费是SU为会员建立及维护账户、完成入会配置、开放平台与管家通道、维持服务待命能力以及调配参与商家网络准入资源的对价，并非针对任何特定商家交易、使用次数、节省金额、会员奖励额度或预约成功结果的付款。会员选择不使用、使用频率较低或对独立商家不满意，本身不产生退款权。会员自行承担对其消费或会员资格征收的税费，但以SU净收入为基础征收的税费除外。
6. Term Renewal Cancellation and Refunds 第六条 期限 续费 取消及退款
The initial term is stated in the Membership Order Form. Membership does not automatically renew unless Member separately and affirmatively authorizes automatic renewal in a writing that clearly states the renewal price, frequency, and cancellation method. Without such authorization, membership expires at the end of the stated term unless the parties agree to a new term.
初始期限以《会员订单表》为准。除非会员另行以书面形式主动授权自动续费，且该授权清楚说明续费价格、频率及取消方式，否则会员资格不自动续费。未作自动续费授权时，会员资格在约定期限届满后终止，双方另行同意新期限的除外。
Member may request cancellation through an official contact method listed at www.silkunveiled.com. Cancellation stops future services but does not automatically create a refund. Any legally required cancellation or refund right remains available. If SU terminates the Agreement without Member breach, fraud, safety concern, or legal necessity, SU will provide a reasonable pro rata refund of the prepaid Membership Fee for the remaining term, less any separately agreed nonrefundable setup charge and any refund adjustment permitted by law.
会员可通过www.silkunveiled.com公布的官方联系方式申请取消。取消将停止未来服务，但不会自动产生退款。法律规定的取消或退款权利不受影响。如SU在会员不存在违约、欺诈、安全风险或法律必要性的情况下终止协议，SU将就剩余期限内预付的会员费用提供合理的按比例退款，但可扣除另行约定的不可退设置费及法律允许的其他调整。
7. Accounts Eligibility and Security 第七条 账户 资格及安全
Member must provide complete and accurate information, keep it current, protect login credentials, and promptly report suspected unauthorized access. Membership is personal to the approved individual or approved business account and may not be sold, assigned, rented, shared, or used to book for an undisclosed third party without SU's prior approval.
会员应提供完整、准确且最新的信息，保护登录凭证，并及时报告疑似未经授权的访问。会员资格仅限获准个人或企业账户使用，未经SU事先批准，不得出售、转让、出租、共享或为未披露第三方预约。
SU may use reasonable identity, transaction, payment, sanctions, fraud, and eligibility checks. SU may decline an application or booking, request supporting information, or restrict access when reasonably necessary to protect SU, members, merchants, or the public.
SU可进行合理的身份、交易、付款、制裁、欺诈和资格核验。为保护SU、会员、商家或公众，SU可拒绝申请或预约、要求补充资料或限制账户访问。
8. Reward Credits 第八条 会员奖励额度
"Reward Credits" are non-cash membership benefits recorded in an eligible Member's SU account for use only within the scope designated by SU. References to a "member commission pool," "commission return," or similar term mean Reward Credits unless expressly stated otherwise. Reward Credits are not cash, deposits, investments, stored-value funds, or commission income payable to Member; do not earn interest; and cannot be withdrawn, transferred, sold, gifted, exchanged for cash, or loaded onto a payment card.
“会员奖励额度”是指记入合格会员SU账户、仅可在SU指定范围内使用的非现金会员权益。除非另有明确说明，营销材料中的“会员佣金池”“佣金返还”等类似名称均指会员奖励额度。会员奖励额度不是现金、存款、投资、储值资金或应付给会员的佣金收入，不产生利息，不能提现、转让、出售、赠与、兑换现金或充值至支付卡。
Reward Credits arise only when the account is in good standing; the booking was made and correctly identified through an SU-designated channel; the bona fide transaction was completed under the applicable terms; the merchant actually paid the corresponding cleared commission to SU; and SU completed any reasonably required review. No Reward Credit is owed before SU receives and verifies the merchant commission.
会员奖励额度仅在账户状态正常、预约通过SU指定渠道完成并正确识别、真实交易按照适用规则完成、商家已向SU实际支付结清的对应佣金、且SU完成合理必要的核验后产生。SU实际收到并核验商家佣金前，不欠付任何会员奖励额度。
Unless specific terms say otherwise, taxes, gratuities, service charges, deposits, refunded amounts, cancellation fees, and amounts excluded from the merchant's commission base do not earn Reward Credits. Rates, limits, eligibility, stacking, redemption options, and merchant participation may vary. SU generally aims to post Reward Credits within 24 hours after receiving cleared funds and completing verification, but merchant settlement, disputes, holidays, maintenance, identity checks, fraud review, or other reasonable circumstances may delay posting.
除具体规则另有说明外，税费、小费、服务费、押金、退款金额、取消费用以及被商家排除在佣金计算基础之外的金额，不产生会员奖励额度。比例、上限、资格、优惠叠加、使用方式和商家参与情况均可能变化。SU通常以收到结清款项并完成核验后24小时内入账为目标，但商家结算、争议、节假日、系统维护、身份核验、欺诈审查或其他合理情形可能导致延迟。
SU may withhold, correct, freeze, reverse, or offset Reward Credits because of a refund, cancellation, chargeback, duplicate entry, calculation or system error, fraud, account misuse, violation of terms, or merchant commission reversal. Unless applicable terms or law provide otherwise, unused Reward Credits expire 90 days after membership ends. They may expire immediately when SU terminates membership for fraud, unlawful conduct, material breach, or account abuse.
如发生退款、取消、拒付、重复入账、计算或系统错误、欺诈、账户滥用、违反规则或商家佣金冲销，SU可暂缓、纠正、冻结、冲销或抵扣相关额度。除具体规则或法律另有规定外，未使用的会员奖励额度在会员资格终止后90日到期；如因欺诈、违法行为、重大违约或账户滥用被终止，可立即失效。
9. Member Conduct and Prohibited Uses 第九条 会员行为及禁止用途
Member must comply with applicable law, merchant rules, age restrictions, this Agreement, and the Safety and Service Boundaries Statement. Member may not use SU to request, arrange, promote, or facilitate sexual services, prostitution, personal or romantic companionship, unlawful gambling, controlled substances, prohibited goods, human trafficking, exploitation, violence, harassment, discrimination, bribery, kickbacks, money laundering, cash conversion, sham transactions, false reimbursement, fabricated business purposes, identity misuse, privacy violations, or unauthorized off-platform payments.
会员必须遵守适用法律、商家规则、年龄限制、本协议及《官方安全与服务边界声明》。会员不得利用SU请求、安排、推广或协助性服务、卖淫、私人或情感陪伴、非法赌博、毒品、违禁品、人口贩运、剥削、暴力、骚扰、歧视、商业贿赂、非法回扣、洗钱、套现、虚假交易、虚假报销、虚构商务用途、冒用身份、侵犯隐私或未经授权的平台外付款。
Member must not threaten or abuse SU personnel, interfere with platform operation, scrape or copy protected content, manipulate bookings or Reward Credits, submit false records, evade restrictions, or use membership for resale or unauthorized commercial activity.
会员不得威胁或辱骂SU人员、干扰平台运行、抓取或复制受保护内容、操纵预约或奖励额度、提交虚假记录、规避限制，或将会员资格用于转售及未经授权的商业活动。
10. Suspension and Termination 第十条 暂停及终止
SU may immediately suspend bookings, access, or pending benefits while investigating a reasonably suspected breach, fraud, safety risk, chargeback, unlawful conduct, sanctions concern, merchant complaint, or threat to SU, a merchant, another member, or the public. SU may terminate this Agreement for material breach, fraud, unlawful conduct, repeated merchant-rule violations, nonpayment, account misuse, or conduct reasonably likely to damage safety or platform integrity.
如SU合理怀疑存在违约、欺诈、安全风险、拒付、违法行为、制裁风险、商家投诉，或对SU、商家、其他会员或公众的威胁，SU可在调查期间立即暂停预约、账户访问或待处理权益。对于重大违约、欺诈、违法行为、多次违反商家规则、不付款、账户滥用或合理可能损害安全及平台完整性的行为，SU可终止本协议。
To the extent permitted by law, Membership Fees are not refundable when SU terminates for Member's breach. Termination does not eliminate accrued payment obligations, investigation rights, lawful Reward Credit adjustments, or provisions intended to survive.
在法律允许的范围内，因会员违约导致终止的，会员费用不予退还。终止不影响已经产生的付款义务、调查权、合法的奖励额度调整及按其性质应继续有效的条款。
11. Safety Emergencies and Personal Responsibility 第十一条 安全 紧急情况及个人责任
SU is not a police department, medical provider, security company, or emergency service and cannot guarantee that a venue, trip, or activity will be risk-free. Member is responsible for personal judgment, lawful alcohol consumption, conduct, health decisions, transportation choices, and personal property. For imminent danger, medical emergency, violence, or suspected crime, Member must contact 911, local authorities, emergency medical personnel, or venue security before contacting SU.
SU不是警察机关、医疗机构、保安公司或紧急救援机构，不能保证场所、行程或活动不存在风险。会员应自行负责个人判断、合法饮酒、个人行为、健康决定、交通选择及个人财物。如发生迫在眉睫的危险、医疗紧急情况、暴力或疑似犯罪，会员应先联系911、当地主管机关、急救人员或场所安保，再联系SU。
12. Privacy Confidentiality and Communications 第十二条 隐私 保密及通讯
SU handles personal information as described in its then-current Privacy Policy and may share necessary booking and identity information with participating merchants and service providers. Member consents to receive transactional electronic communications concerning enrollment, bookings, account security, Reward Credits, and changes to this Agreement. Marketing communications remain subject to applicable consent and opt-out requirements.
SU依照届时有效的《隐私政策》处理个人信息，并可向参与商家及服务提供者共享完成预约和身份核验所必需的信息。会员同意接收与入会、预约、账户安全、会员奖励额度及协议变更有关的交易性电子通讯。营销通讯仍须遵守适用的同意及退订要求。
Each party must use reasonable care to protect the other party's nonpublic confidential information. This obligation does not apply to information that is public without breach, independently developed, lawfully received from another source, or disclosed as required by law.
双方均应采取合理措施保护对方的非公开保密信息。但非因违约已经公开、独立开发、从合法第三方获得或依法必须披露的信息不受此限制。
13. Intellectual Property and Feedback 第十三条 知识产权及反馈
SU and its licensors retain all rights in SU names, trademarks, content, platform features, compilations, designs, and technology. SU grants Member a limited, revocable, nonexclusive, nontransferable right to use membership materials only for personal or authorized internal business purposes during the term. Member grants SU permission to use voluntarily submitted feedback without payment or restriction, but SU will not publicly use Member's name, image, or endorsement without required consent.
SU及其许可方保留SU名称、商标、内容、平台功能、汇编、设计及技术中的全部权利。SU在协议期限内授予会员一项有限、可撤销、非独占且不可转让的权利，仅用于个人用途或获准的企业内部用途。会员允许SU无偿使用其自愿提交的意见和建议，但未经法律要求的同意，SU不会公开使用会员姓名、肖像或推荐内容。
14. Disclaimers 第十四条 免责声明
Except for express promises in this Agreement and to the fullest extent permitted by law, SU provides its platform, information, concierge coordination, and membership benefits on an "as available" basis and disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. SU does not warrant uninterrupted operation, a particular financial benefit, tax treatment, booking result, merchant performance, or that membership savings or Reward Credits will equal or exceed the Membership Fee.
除本协议明确承诺外，并在法律允许的最大范围内，SU按“现有”和“可提供”状态提供平台、信息、管家协调和会员权益，并排除适销性、特定目的适用性、权利完整及不侵权的默示保证。SU不保证服务不间断、实现特定经济利益或税务处理、取得特定预约结果、商家履约，亦不保证会员节省金额或会员奖励额度等于或超过会员费用。
SU does not provide legal, tax, accounting, investment, insurance, medical, or security advice. Nothing in this Agreement limits rights or warranties that applicable law does not allow the parties to waive.
SU不提供法律、税务、会计、投资、保险、医疗或安保建议。本协议不限制适用法律禁止放弃的权利或保证。
15. Limitation of Liability 第十五条 责任限制
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profits, revenue, opportunity, goodwill, or data, arising from this Agreement, even if advised of the possibility. To the fullest extent permitted by law, SU's aggregate liability arising from this Agreement will not exceed the Membership Fees actually paid by Member to SU during the 12 months immediately preceding the event giving rise to the claim.
在法律允许的最大范围内，任何一方均不对因本协议产生的间接、附带、特殊、示范性、惩罚性或后果性损失，以及利润、收入、机会、商誉或数据损失承担责任，即使其已被告知该等损失的可能性。在法律允许的最大范围内，SU因本协议承担的累计责任不超过引发请求的事件发生前12个月内会员实际向SU支付的会员费用。
These limitations do not apply to liability that cannot lawfully be limited, or to SU's fraud, willful misconduct, gross negligence, or other nonwaivable liability. They also do not limit Member's payment obligations, misuse of SU intellectual property, fraud, unlawful conduct, or indemnification obligations.
上述限制不适用于依法不得限制的责任，也不适用于SU的欺诈、故意不当行为、重大过失或其他不可放弃的责任。该限制亦不限制会员的付款义务、对SU知识产权的滥用、欺诈、违法行为或赔偿义务。
16. Member Indemnification 第十六条 会员赔偿义务
To the fullest extent permitted by law, Member will defend, indemnify, and hold harmless SU and its managers, officers, employees, and contractors from third-party claims, damages, penalties, and reasonable legal costs arising from Member's unlawful conduct, fraud, misuse of membership, breach of this Agreement, violation of merchant rules, infringement of another person's rights, or unauthorized promise or transaction made through Member's account. This obligation does not apply to the extent a claim results from SU's own gross negligence, willful misconduct, or other responsibility that cannot be shifted by law.
在法律允许的最大范围内，如第三方请求因会员的违法行为、欺诈、滥用会员资格、违反本协议、违反商家规则、侵犯他人权利，或通过会员账户作出未经授权的承诺或交易而产生，会员应为SU及其管理人员、高级人员、员工和承包商进行抗辩、赔偿并使其免受损害，包括合理法律费用。但因SU自身重大过失、故意不当行为或依法不能转移的责任所导致的部分除外。
17. Dispute Resolution Arbitration and Class Waiver 第十七条 争议解决 仲裁及集体诉讼弃权
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS THE RIGHT TO GO TO COURT AND HAVE A JURY TRIAL.
请仔细阅读本条。本条会影响向法院起诉及由陪审团审理的权利。
Before filing a formal claim, a party must send the other a written notice describing the dispute and requested relief and allow 30 days for good-faith informal resolution. Notices to SU may be submitted through the legal or contact channel then published at www.silkunveiled.com. This requirement does not prevent either party from seeking urgent injunctive relief.
提出正式请求前，一方应向另一方发送书面通知，说明争议及所要求的救济，并给予30日善意协商期。向SU发出的通知可通过www.silkunveiled.com届时公布的法律或联系渠道提交。本要求不妨碍任何一方申请紧急禁令救济。
Except for an eligible individual claim in small claims court and claims seeking urgent injunctive relief, any dispute arising from or relating to this Agreement, membership, a booking, or Reward Credits will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA). If Member is an individual who obtained and used the membership primarily for personal, family, or household purposes, the AAA's then-current Consumer Arbitration Rules apply, together with any consumer fee protections required by those rules or applicable law. If Member is an entity, or obtained and used the membership primarily for business or commercial purposes, the AAA's then-current Commercial Arbitration Rules apply. A transaction's description as business entertainment, by itself, does not eliminate mandatory consumer protections. The AAA will determine which rules and fee schedule apply if classification is disputed. The Federal Arbitration Act governs this arbitration provision. Arbitration may proceed by documents, telephone, video, or in person as the applicable rules permit.

ARBITRATION WILL TAKE PLACE ONLY ON AN INDIVIDUAL BASIS. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, TO THE FULLEST EXTENT PERMITTED BY LAW. If this class waiver is finally held unenforceable as to a particular claim, that claim must proceed in court and will be stayed while arbitrable claims are resolved.

Member may opt out of this arbitration provision by sending SU a clear written opt-out notice through the official contact method at www.silkunveiled.com within 30 days after first accepting this Agreement. The notice must include Member's legal name, SU account ID, email address, and an unambiguous statement that Member opts out of arbitration. Opting out does not affect membership services.

18. Governing Law and Court Venue 第十八条 适用法律及法院管辖
California law governs this Agreement without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 17. If a dispute is not subject to arbitration, the parties consent to the state and federal courts located in the California county where SU maintains its principal place of business, except that an eligible small claims action may be brought in any proper venue. Nothing in this provision deprives a consumer of mandatory protections of the consumer's state of residence.

19. General Terms 第十九条 一般条款
Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations already due. Member may not assign this Agreement without SU's written consent. SU may assign it in connection with a merger, financing, reorganization, sale of assets, or transfer of the membership business.
除已经到期的付款义务外，任何一方均不对其合理控制范围之外的事件造成的延迟或不能履行承担责任。未经SU书面同意，会员不得转让本协议。SU可在合并、融资、重组、资产出售或会员业务转移时转让本协议。
This Agreement is the entire agreement regarding its subject matter and supersedes prior discussions or representations. An amendment binding an existing Member must be delivered by a reasonable electronic method. Material changes will apply prospectively after reasonable notice and any consent required by law. Continued use alone will not waive a right where affirmative consent is legally required.

Sections concerning payments, Reward Credit adjustments, confidentiality, intellectual property, disclaimers, liability, indemnification, disputes, and general terms survive termination.

20. Electronic Signatures and Counterparts 第二十条 电子签名及文本效力
The parties consent to electronic records and signatures. Electronic acceptance, a DocuSign signature, and copies or counterparts have the same effect as an original signature to the extent permitted by law. Member may download or request a copy of the completed Agreement. The English and Chinese versions are intended to describe the same terms; if they differ, the English version controls, except where applicable law requires otherwise.

This Exhibit A is incorporated into and forms part of the Membership Services Agreement between SU International LLC and the Member. It explains the nature, limitations, safety principles, and service boundaries of SU services in the United States. Capitalized terms not defined here have the meanings given in the Membership Services Agreement.

1. What SU Provides 一 SU提供的服务
SU operates a membership-based platform that provides information about participating dining, hotel, transportation, business-entertainment, and other consumer venues, together with concierge booking assistance. SU may enter into marketing or commission arrangements with participating merchants. To be eligible for any related member benefit, a member must book through an SU-designated channel or concierge and complete a bona fide transaction in accordance with the terms disclosed for that offer.

Unless a specific listing expressly states otherwise, SU does not sell, operate, or directly provide a merchant's food, lodging, transportation, entertainment, or on-site services. SU does not guarantee that any merchant will remain available, accept a particular booking, maintain a stated price, or provide a particular level of service.

On-site concierge accompaniment is an optional add-on service and is not included by default in any membership or booking. If separately requested and accepted, an SU concierge acts only in a booking, communication, and service-coordination capacity. Concierges do not provide private security, bodyguard, physical-escort, medical, transportation, or emergency-rescue services.
管家现场随行属于选配增值服务，不默认包含于任何会员资格或预约中。经会员另行提出且SU接受后，现场管家仅提供预约、沟通及服务协调，不提供私人安保、保镖、人身护卫、医疗、交通运输或紧急救援服务。
2. Services and Conduct Outside SU's Scope 二 SU服务范围之外的事项
SU does not provide, arrange, introduce, facilitate, or endorse:

· sexual services, prostitution, erotic services, personal companionship, romantic companionship, or matchmaking for any such purpose;

· gambling, unlawful wagering, controlled substances, prohibited goods, human trafficking, forced labor, exploitation, or other unlawful activity;

· commercial bribery, kickbacks, money laundering, cash conversion, sham transactions, false reimbursement claims, or fabricated business purposes;

· off-platform payments, personal custody of member funds, private payment arrangements, or transactions lacking a bona fide commercial purpose; or

· harassment, violence, discrimination, invasion of privacy, identity misuse, or conduct that violates merchant rules, public policy, or applicable law.

An unauthorized promise, private arrangement, or request for payment made by any individual is not binding on SU unless confirmed through an authorized SU channel in writing.

SU or an on-site concierge may immediately suspend or terminate an engagement and leave the premises whenever either reasonably determines that continued presence may create a safety, legal, harassment, intoxication, or reputational risk. Fees attributable to services already performed and costs irrevocably incurred are nonrefundable. Any unused portion will be handled under the applicable booking terms and mandatory law. This provision does not exclude liability that cannot lawfully be excluded.

3. Participating Merchants and On-Site Services 三 参与商家和现场服务
Participating merchants and service providers are independent third parties. Members ordinarily pay the merchant directly and transact with the merchant for the underlying goods or on-site services. Each merchant is responsible for its licensing, prices, performance, premises, personnel, policies, and on-site safety.
参与商家和服务提供者均为独立第三方。会员通常直接向商家支付消费款，并就实际商品或现场服务与商家形成交易关系。商家自行负责其经营许可、价格、履约、场所、人员、政策及现场安全。
Member and each guest must satisfy all merchant admission requirements, including valid government-issued identification, applicable minimum-age requirements (including age 21 where required), dress codes, arrival times, capacity limitations, and conduct policies. Admission refused because of Member or guest noncompliance does not make SU responsible for the refusal or for deposits, minimum-spend commitments, cancellation or no-show charges, or other amounts validly imposed under disclosed terms, subject to non-waivable law.

SU may use commercially reasonable review and risk-management practices when establishing or maintaining a merchant relationship, but SU does not warrant the continuing legal status, performance, or conduct of every merchant or merchant representative. Concerns involving a merchant's goods, bill, or on-site services should be raised promptly with that merchant and may also be reported to SU for assistance. Nothing in this Statement excludes liability that SU must bear under applicable law.

Zero-advance policy. SU does not advance funds, extend credit, or assume third-party merchant charges for a member. Third-party purchases, minimum-spend commitments, deposits, reservation fees, cancellation fees, and no-show fees must be paid using a payment method validly authorized by the member. Merchant terms and the transaction-specific booking confirmation control the amount and conditions of those charges.

Payment-card data isolation. Members must not send a complete card number, security code, account password, or similar authentication data through SMS, WeChat, ordinary email, social media, or another unapproved or unencrypted channel. Payment must be completed through a merchant-hosted or SU-approved secure payment link, PCI-compliant payment page, tokenized card-on-file process, or other approved secure method. SU personnel will not request a security code through an ordinary messaging channel.

4. Member Reward Credits 四 会员奖励额度
"Reward Credits" are non-cash membership benefits posted to an eligible member's SU account for use only within the scope designated by SU. Marketing references to a "member commission pool," "commission return," or similar term refer to Reward Credits unless expressly stated otherwise. Reward Credits are not cash, a bank deposit, an investment product, or commission income payable to the member. They do not earn interest and cannot be withdrawn, transferred, sold, gifted, redeemed for cash, or loaded onto a payment card.

Reward Credits arise only after all applicable conditions are satisfied, including: the member account remains in good standing; the booking is completed and correctly identified through an SU-designated channel; the transaction is bona fide, completed, and eligible under the terms in effect at booking; the merchant has actually paid the related commission to SU; and SU has completed any reasonably necessary transaction, identity, and payment review.

Unless transaction-specific terms provide otherwise, taxes, gratuities, service charges, deposits, refunded amounts, cancellation charges, and any amount excluded by the merchant from its commission base do not earn Reward Credits. Rates, limits, eligibility, and the availability of stacking with other offers may vary by merchant, program, date, and promotion. The terms displayed or confirmed at booking control.

After SU receives cleared commission funds from the merchant and completes required verification, SU generally aims to post the corresponding Reward Credits within 24 hours. Posting may be delayed by merchant settlement, payment disputes, holidays, system maintenance, identity verification, fraud review, or other reasonable circumstances. No Reward Credit is earned for a merchant commission that has not been received and verified by SU.

If the account lacks sufficient credits for an adjustment, SU may restrict subsequent benefits while the matter is reviewed. SU may preserve relevant records, suspend services, and report suspected unlawful activity to merchants, payment providers, or law-enforcement authorities as permitted by law.

5. Member Responsibilities 五 会员责任
Members must provide accurate and current account and booking information, safeguard their credentials, and refrain from sharing, renting, selling, or misusing membership access. Members must comply with age restrictions, merchant policies, and applicable law. Before confirming a booking or purchase, members should review the merchant's price, cancellation policy, venue requirements, and the Reward Credit terms applicable to that transaction.
会员应提供真实、准确且最新的账户及预约信息，妥善保管账户凭证，不得分享、出租、出售或滥用会员资格。会员必须遵守年龄限制、商家政策及适用法律。在确认预约或消费前，会员应自行核对商家价格、取消政策、场所要求及适用于该交易的会员奖励额度规则。
Each concierge-assisted booking that may result in a charge requires the member's transaction-specific confirmation through the SU system, booking record, or another authorized written channel. The confirmation may identify the merchant, estimated or maximum authorized amount, minimum spend, deposit, cancellation or no-show terms, and charging party. A member must not knowingly initiate a false, fraudulent, duplicative, or bad-faith reversal or chargeback concerning a validly authorized charge imposed consistently with the disclosed terms. Nothing in this Statement waives any non-waivable right to dispute an unauthorized charge, billing error, or service not provided as agreed.

6. Safety and Emergencies 六 安全与紧急情况
SU may provide booking coordination and general informational assistance, but SU is not a police department, medical provider, security company, or emergency service and cannot guarantee that a venue or activity will be risk-free. Members should exercise reasonable judgment based on their health, travel, and consumption circumstances and remain responsible for their own conduct and personal property.
SU可提供预约协调及一般信息协助，但SU不是警察机关、医疗机构、保安公司或紧急救援机构，亦不能保证任何场所或活动完全没有风险。会员应结合自身健康、出行及消费情况作出合理判断，并对自己的行为及个人财物负责。
For imminent danger, a medical emergency, violence, suspected crime, or any situation requiring immediate assistance, contact 911, local law enforcement, emergency medical personnel, or venue security first. Notify SU afterward when it is safe to do so.

Alcohol and transportation. Alcohol, if any, is furnished and controlled by the applicable licensed third-party venue, not SU. SU does not require or direct alcohol consumption. Each member is responsible for personal consumption, conduct, health decisions, and safe post-event transportation and must not drive while impaired by alcohol or another substance. To the fullest extent permitted by law, SU is not responsible for injury, loss, or third-party claims caused by a member's voluntary consumption, intoxication, impaired driving, refusal to follow safety guidance, or independent conduct, except to the extent directly caused by liability that cannot lawfully be excluded.

7. Enforcement 七 违规处理
If SU reasonably believes that a member, merchant, or other person may have violated this Statement, the Membership Services Agreement, merchant rules, or applicable law, SU may decline a request, pause a booking, restrict an account, place pending benefits under review, terminate membership, or take other proportionate protective action. SU may take interim action before completing an investigation when immediate risk, suspected fraud, or legal requirements warrant it.

8. Reports and Feedback 八 举报与反馈
Members and the public may submit a report, complaint, or other feedback through the official contact methods published at www.silkunveiled.com. Do not send payments or sensitive information to an unofficial personal account. SU will review submissions according to their nature and available information but does not promise a particular result or response time.
会员及公众可以通过www.silkunveiled.com公布的官方联系方式提交举报、投诉或反馈。请勿向非官方个人账户付款或发送敏感资料。SU将根据事项性质及现有资料进行审查，但不承诺特定处理结果或回复时间。
9. No Tax or Professional Advice 九 不构成税务或专业意见
A listing or booking arranged through SU does not establish that an expense is business-related, reimbursable, deductible, or eligible for any tax treatment. General information from SU is not legal, tax, accounting, investment, insurance, or medical advice. Members should consult an appropriately qualified professional and retain complete, accurate records of each transaction.
SU展示或协助预约某项消费，并不表示该消费属于商务费用、可以报销、可以抵扣或享有任何特定税务处理。SU提供的一般信息不构成法律、税务、会计、投资、保险或医疗意见。会员应咨询具备相应资格的专业人士，并保存真实、完整的交易记录。
10. Allocation of Responsibility 十 责任分配
To the fullest extent permitted by applicable law, SU is not responsible for the acts, omissions, goods, on-site services, temporary closure, price changes, booking refusal, or performance failure of an independent third-party merchant to the extent responsibility legally rests with that third party. SU is also not responsible for loss caused by a member's inaccurate information, failure to follow disclosed rules, unauthorized private transaction, or circumstances beyond SU's reasonable control.
在适用法律允许的最大范围内，对于依法应由独立第三方商家承担责任的行为、遗漏、商品、现场服务、临时停业、价格变化、拒绝预约或履约失败，SU不承担该第三方应负的责任。对于因会员提供错误信息、未遵守已经披露的规则、擅自进行私下交易或超出SU合理控制范围的情形造成的损失，SU亦不承担责任。

Any lawful limitations of liability and remedies in the Membership Services Agreement remain applicable.

11. Updates and Order of Controlling Terms 十一 更新及文件效力顺序
SU may update this Statement to reflect changes in law, business operations, merchant relationships, risk controls, or products. The updated effective date will be posted on our website. Except where required by law or justified by fraud, error, refund, chargeback, or the terms in effect when a transaction occurred, an update generally will not retroactively reduce Reward Credits that were finally posted to a member account.

Otherwise, this Exhibit's terms concerning safety, the zero-advance policy, concierge withdrawal rights, payment-card data isolation, and compliance boundaries supersede and control over inconsistent order forms, marketing terms, booking confirmations, or informal communications. Mandatory law controls in all cases.
本附件说明一般服务边界，并构成《会员服务协议》的一部分。SU授权代表此后签署的书面补充文件可以明确修改本附件；除此之外，本附件中有关安全、零垫付原则、管家撤离权、支付卡数据隔离及合规边界的条款，优先于订单表、营销条款、预约确认或非正式沟通中的不一致内容。适用法律的强制性规定始终优先。
